Spirit AeroSystems sets January vote for Boeing’s acquisition

WICHITA, Kan. (KSNW) – In a filing before the U.S. Securities and Exchange Commission on Friday, Dec. 20, 2024, Sprit AeroSystems issued a notice of a special meeting of stockholders for Jan. 31, 2025. In the filing, the “special meeting” is to be held virtually via live audio webcast.
In the meeting, the Board of Directors of Spirit AeroSystems intends to ask shareholders to vote on a proposal to adopt the Agreement and Plan of Merger with The Boeing Company and Sphere Acquisition Corporation, a wholly owned subsidiary of Boeing.
In addition to the merger vote, they plan to present a proposal to approve the compensation that may be paid or become payable to Spirit’s executive officers based on or related to the merger.
The filing noted that Boeing and Spirit hope to complete the merger in mid-2025. There is no definite date for the completion of the merger because there are conditions beyond the control of both Boeing and Spirit.
One of those is the distribution of Spirit's Airbus assets. Those assets are operations in North Carolina and other locations overseas.
In addition, Spirit announced a purchase agreement with Tex Tech Industries to sell Fiber Materials, Inc. in November. These two items are considered Divestiture Assets according to Friday’s filing.
